If you are accepting or agreeing to the Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to act on behalf of and bind that entity to the Terms. If you do not agree to the Terms, you may not access or use the website.

1.1 Key Terms

  • “Users” means any and all persons that access or use the Website, including browsing.
  • “Website” refers to any website owned or operated by BizLeadhers, including www.bizleadhers.org, together with all features, functionality, tools and content available on or through it.
  • “BizLeadhers,” “we,” or “us” refer to BizLeadhers Corp.

1.2 Website Rules and Supplemental Terms

Your access to and use of the Website is governed by these Terms of Use, our Privacy Policy, and any other policies and rules referenced herein, posted on the Website, or otherwise communicated to users (the “Website Rules”). Certain features may be subject to additional Supplemental Terms, which are incorporated by reference when you use those features. If there is a conflict between these Terms of Use and any Supplemental Terms, the Supplemental Terms govern for the applicable feature.

1.3 Amendment of Terms

BizLeadhers reserves the right, in its sole discretion, to amend the Terms at any time and without prior notice. If we amend the Terms, we will update the effective date at the top of the Terms and post the updated version, and may notify you by email or other means. By continuing to use the Website after an update, you affirm that you agree to be bound by the amended Terms. If the amended Terms are not acceptable to you, your only recourse is to stop using the Website.

2. About the Website

2.1 License to Use

Subject to your compliance with the Terms, BizLeadhers grants you a limited, non-exclusive, non-transferable, non-assignable and non-sublicensable license to access and use the Website for your own personal use only, and not for any business purpose or commercial activity.

2.2 Modifications and Updates to the Website

BizLeadhers reserves the right, in its sole discretion, to modify or discontinue offering the Website, in whole or in part, at any time, for any reason or no reason, with or without notice to you, and will not be liable with respect to any such modification, discontinuance or deletion.

2.3 International Users

The Website is controlled and operated within the United States and is directed to US users. You are prohibited from accessing or using the Website from any territory where it is illegal to do so. If you access the Website from outside the United States, you do so at your own risk and are solely responsible for compliance with applicable local laws.

3. Donations

Payment / Credit Cards. You are responsible for providing BizLeadhers with valid credit card or payment account details and for all donations. Payment information you submit may be used and shared with our payment processing services provider and otherwise used in accordance with our Privacy Policy. All donations are tax deductible to the extent allowed by law.

No Refunds. Unless BizLeadhers agrees or states otherwise expressly in writing, all donations are nonrefundable.

4. User Conduct Guidelines

You agree to access and use the Website for your personal use only. You are not authorized to use the Website:

  • to impersonate any person or entity, or falsify or misrepresent your identity, credentials, affiliations or intentions;
  • to collect, store or use any information from or about another User, or to “stalk” or harass any other User;
  • to distribute unsolicited commercial or bulk electronic communications, chain letters, or “pyramid” schemes;
  • for political campaigning, recruiting votes, or soliciting donations or support for legislative or other initiatives;
  • to systematically retrieve content to build a collection, compilation, database, or directory, whether by manual methods, bots, crawlers, or spiders;
  • if you are not able to form legally binding contracts (for example, if you are under 18), or if you are barred from receiving services under applicable law; or
  • for any purpose not expressly permitted by the Terms.

You also may not scrape, crawl, or spider the Website; mirror, frame, or display BizLeadhers’ name, trademarks, or proprietary content without written consent; interfere with or disrupt the Website or our systems (including via viruses, denial-of-service attacks, or similar means); access non-public areas of our systems; probe or test the vulnerability of our systems; circumvent any technological protection measures; forge header or routing information; reverse engineer any code or software used to provide the Website; or otherwise abuse the Website or breach the Terms.

5. Intellectual Property Ownership

The Website, including all features, functionality, tools and content, is protected by copyright, trademark, and other laws of the United States and foreign countries, and is the exclusive property of BizLeadhers and its licensors. You will not remove, alter or obscure any proprietary rights notices on the Website. The BizLeadhers name, logos, and other trademarks and service marks are the property of BizLeadhers, and you may not use them without our prior written consent. You may not copy, reproduce, distribute, license, sell, publish, publicly display or perform, adapt, or create derivative works from any Website content without prior written permission.

Feedback. We welcome feedback, comments, ideas and suggestions. All Feedback you give us will be treated as non-confidential, and BizLeadhers may use it for any purpose without compensation or attribution to you.

6. Third Party Terms

The Website may link to third-party websites, resources or services. BizLeadhers is not responsible or liable for the availability, terms, practices, content, products or services of such third parties, and such links do not imply any endorsement by BizLeadhers. You assume all risk arising from your use of any such third-party websites or services.

7. Warranties, Disclaimers, Limitation of Liability & Indemnification

You represent and warrant that you have the power and authority to accept the Terms; that you own or control all rights necessary to grant the rights and licenses granted herein; that you will not violate any applicable law or infringe any third party’s rights in connection with your use of the Website; and that all information you provide will be complete, accurate and up-to-date.

Except as expressly provided herein, the Website is provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the Website will be uninterrupted or error-free.

To the maximum extent not prohibited by law, the entire risk arising out of your use of the Website remains with you, and BizLeadhers will not be liable for any indirect, incidental, special, exemplary, punitive or consequential damages of any kind, including lost revenue or profits, loss of data or goodwill, or service interruption, arising out of or in connection with these Terms. If a limitation of liability is found unenforceable, BizLeadhers’ aggregate liability will be limited to one hundred U.S. dollars (US$100). Some jurisdictions do not allow these limitations, so they apply to you only to the extent permitted by applicable law.

Indemnification. To the maximum extent not prohibited by applicable law, you agree to defend, indemnify, and hold BizLeadhers, its affiliates, licensors, service providers, and their officers, directors, employees, volunteers and representatives harmless from any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to your access to or use of the Website, your interactions with any other User, your breach of the Terms, or your gross negligence or willful misconduct.

8. Governing Law & Dispute Resolution

The Terms are governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict of law principles. You and BizLeadhers agree that any disputes arising out of or relating to the Terms or your use of the Website will be brought in the federal or state courts located in New York County, which will have exclusive jurisdiction and venue, except that BizLeadhers retains the right to submit a dispute to any court of competent jurisdiction or to seek injunctive relief wherever located.

You agree that you may bring claims against BizLeadhers only on an individual basis, and you waive the right to participate as a plaintiff or class member in any class action or representative proceeding, to the maximum extent not prohibited by applicable law.

9. Miscellaneous

Our collection and use of information about Users is governed by our Privacy Policy. These Terms, our Privacy Policy, and any Supplemental Terms constitute the entire agreement between you and BizLeadhers regarding your use of the Website. You may not assign, transfer, or sublicense your rights or obligations under the Terms without our prior written consent; BizLeadhers may assign or transfer its rights and obligations without restriction. Our failure to enforce any provision will not constitute a waiver of that provision. If any provision of the Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
